For some reason, I can't imagine the X-Men, Captain America, The Punisher, or Spider Man being anywhere near Mickey Mouse.

I also hate how Disney bought Jim Henson's Muppets & Fraggle Rock.

Universal has a good portion of its amusement parks based on Marvel comics. This is a huge problem for them.

Probably not. Universal has an ironclad renewable contract for Marvel characters. The move might actually increase Universal exposure, given the clsoe proximity of one of their theme parks to the Disney parks. In other words, you probably won't see a Spidey ride at Disney, when there's a Spidey ride at Universal, just down the road.
There are several possibilities. Disney's Hollywood Studios in Orlando would be perfect for a Marvel overlay. Also, Disney wants to eventually open a third park in Anaheim, and a Marvel-themed park would fill a void that the current two parks in Anaheim don't fill.
